1. Agreement

These Terms of Service ("Terms") govern your use of the BarnDesk application, website, and related services ("Service") provided by BarnDesk LLC, a Wyoming limited liability company ("BarnDesk", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to create a BarnDesk account. By signing up, you represent that you are at least 18 and have the legal capacity to enter into this agreement.

3. Your account

3.1 Account creation

You are responsible for:

• Providing accurate registration information
• Keeping your authentication credentials secure
• All activity that occurs under your account
• Notifying us immediately at support@thebarndesk.com if you suspect unauthorized access

3.2 Farm members

Account owners may invite other people ("Members") to their farm with one of four roles: Owner, Admin, Member, or Viewer. Owners are responsible for the actions of Members they invite. Members must agree to these Terms to access a farm through the Service.

4. Subscription and billing

4.1 Free tier

BarnDesk offers a Free tier with usage limits, displayed in the app. These limits may change from time to time with reasonable notice.

4.2 Paid subscriptions

Paid plans may be offered with the features, limits, and pricing shown at the time of purchase in the app or on our website. Subscriptions are billed on a recurring basis (monthly or annual) until cancelled.

We may add, change, or discontinue paid plans, features, or pricing. We will provide reasonable notice before any change that materially affects your existing subscription, and you may cancel before the change takes effect.

4.3 Apple In-App Purchase

Subscriptions purchased through the iOS app are processed by Apple under Apple's Standard Terms. Apple handles billing, refunds, and subscription management.

• Auto-renewable subscriptions renew until you cancel
• You can cancel anytime via your iPhone Settings → Apple ID → Subscriptions
• Cancellation takes effect at the end of the current billing period
• Refund requests are handled by Apple, not BarnDesk

Subscription terms, prices, and renewal details will be shown before purchase and managed through Apple where required.

4.4 Free trials

BarnDesk does not currently offer free trials of paid plans. The Free tier serves as an ongoing way to try the Service. We may offer trials in the future.

5. Acceptable use

You agree to use BarnDesk only for lawful purposes related to farm management. You will not:

• Violate any applicable law
• Attempt to access another user's account or farm data without authorization
• Interfere with the Service's operation, including denial-of-service attempts
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service to send spam, malware, or harmful content
• Resell or sublicense the Service to third parties
• Use the Service to manage illegal activities, including unlawful animal fighting, illegal regulated substance production, or other activities prohibited by law

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your content

6.1 Ownership

You retain all ownership of the data you create in BarnDesk (animal records, photos, financial records, etc.) — collectively, "Your Content".

6.2 License to us

You grant BarnDesk a limited, non-exclusive license to host, store, transmit, and process Your Content solely for the purpose of providing the Service to you and your invited Members. This license terminates when you delete the content or close your account (subject to backup retention windows described in our Privacy Policy).

6.3 Backup recommendation

While we maintain backups for disaster recovery, we recommend you periodically export your data to retain your own copy of important records, especially before tax season.

6.4 Photo content

By uploading photos to BarnDesk, you confirm you have the right to do so. Receipt photos may be processed by third-party AI services to extract receipt details. You are responsible for reviewing the extracted information for accuracy.

7. Our intellectual property

The BarnDesk software, design, branding, and documentation are owned by BarnDesk LLC and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose.

You may not:

• Use BarnDesk's name, logo, or branding without permission
• Copy, reverse engineer, scrape, or use non-public aspects of BarnDesk's software, design, or documentation to build or assist in building a competing product
• Remove copyright or other proprietary notices from the Service

8. Privacy

Our Privacy Policy describes what data we collect and how we use it. By using BarnDesk, you agree to the practices described in the Privacy Policy.

9. Termination

9.1 By you

You may delete your account at any time. You may request export or deletion by contacting support@thebarndesk.com. In-app tools may also be available — see Settings within the app. After deletion is initiated, your data is soft-deleted for 30 days (recoverable by signing in) and then permanently deleted.

9.2 By us

We may suspend or terminate your account if you violate these Terms, with notice when reasonably possible. We may also discontinue the Service entirely with at least 60 days' notice, in which case you can export your data before service ends.

9.3 Effect of termination

On termination, your access to the Service ends. Your Content will be deleted per our retention schedule. Sections of these Terms that by their nature should survive termination (intellectual property, limitation of liability, governing law, etc.) will continue to apply.

10. Disclaimers

10.1 As-is service

BARNDESK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Not professional advice

BarnDesk is a record-keeping tool. It is not a substitute for:

• A licensed veterinarian for animal health decisions
• A certified accountant or tax professional for tax filings
• A licensed attorney for legal matters
• A licensed agronomist or extension agent for agricultural advice

The IRS Schedule F categorization features are intended as helpful suggestions only. You are responsible for verifying the accuracy of all tax records. We recommend reviewing all financial records with a qualified tax professional before filing.

10.3 OCR accuracy

Receipt OCR uses AI and is not guaranteed to be 100% accurate. You should review all auto-extracted data before saving.

10.4 Service availability

We do not guarantee the Service will be uninterrupted, error-free, or always available. We perform maintenance from time to time which may temporarily affect availability.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARNDESK LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BARNDESK IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow these limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold BarnDesk LLC harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your Content
• Your use or misuse of the Service

13. Changes to the Service

We may add, remove, or modify features of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last updated" date at the top
• Notify you via email if changes are material
• Post the updated version at https://thebarndesk.com/terms

Continued use after changes take effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Governing law and disputes

15.1 Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.

15.2 Dispute resolution

Any disputes arising from these Terms or the Service will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be resolved by binding arbitration in Sheridan, Wyoming, conducted by JAMS or the American Arbitration Association under their respective rules. You waive your right to a jury trial and to participate in class actions.

15.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or violations of confidentiality. Disputes that fall within the jurisdiction of small-claims court may be brought in such court.

16. Apple App Store

The iOS version of BarnDesk is licensed (not sold) to you under Apple's Licensed Application End User License Agreement (Standard EULA). These Terms supplement that EULA. In the event of a conflict between Apple's EULA and these Terms regarding your use of the iOS app, Apple's EULA controls for matters Apple specifies; otherwise, these Terms control.

You acknowledge that:

• These Terms are between you and BarnDesk LLC, not between you and Apple
• BarnDesk LLC, not Apple, is solely responsible for the iOS app and its content
• Apple has no obligation to provide maintenance and support for the iOS app
• In the event of any failure of the iOS app to conform to applicable warranties, Apple may refund the purchase price; beyond that, Apple has no warranty obligations
• BarnDesk LLC is responsible for addressing claims relating to the iOS app, including product liability, regulatory compliance, and intellectual property
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them

17. Miscellaneous

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and BarnDesk LLC.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• No waiver: Our failure to enforce any provision is not a waiver of future enforcement.
• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
